These Terms & Conditions (“Terms”) govern your access to and use of acumenhealthresearch.org (the “Site”), operated by Acumen Health Research Institute (“AHRI,” “we,” “us,” or “our”), a 501(c)(3) non-profit organization. By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Informational purpose only

The Site provides general information about AHRI and its research and data services. Nothing on the Site is an offer to provide services, and nothing on the Site creates a research, consulting, advisory, contractual, or other professional relationship between you and AHRI. Any collaboration or engagement is governed by a separate written agreement signed by AHRI.

Content on the Site is provided for general informational purposes and does not constitute professional, regulatory, medical, legal, or scientific advice. You should not act or refrain from acting on the basis of Site content without seeking appropriate professional advice.

2. Permitted use

You may view and use the Site for lawful, personal, and internal business or research purposes. You agree not to:

use the Site in violation of any applicable law or regulation;
copy, reproduce, republish, distribute, or create derivative works from Site content except as permitted in Section 4;
use automated means (such as scrapers, bots, or crawlers) to access or collect data from the Site, except for search-engine indexing that respects our machine-readable directives;
attempt to gain unauthorized access to the Site, its servers, or related systems, or interfere with or disrupt the integrity or performance of the Site;
introduce malware or other harmful code, or use the Site to transmit unsolicited or unlawful communications.

3. Forms and submissions

If you contact us through the Site, you are responsible for the accuracy of the information you submit and for ensuring you have the right to share it. Do not submit confidential, proprietary, or trade-secret information, or personal information about others, through the Site’s forms. Except for personal information, which we handle as described in our Privacy Policy, any ideas, suggestions, or feedback you send us are non-confidential, and you grant AHRI a perpetual, worldwide, royalty-free license to use them for any purpose without obligation to you.

4. Intellectual property

The Site and its contents — including text, graphics, logos, images, and layout — are owned by AHRI or its licensors and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and display Site content for the permitted uses described in these Terms. All rights not expressly granted are reserved.

“Acumen Health Research Institute,” “AHRI,” and associated logos are marks of Acumen Health Research Institute. You may not use them without our prior written permission.

5. Third-party links

The Site may contain links to third-party websites or resources. We provide these links for convenience only and do not endorse and are not responsible for the content, products, or practices of any third-party site. Accessing third-party sites is at your own risk and subject to their terms.

6. Disclaimer of warranties

The Site and all content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components, or that any information on the Site is accurate, complete, or current.

7. Limitation of liability

To the fullest extent permitted by law, AHRI and its trustees, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of or inability to use the Site, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for all claims relating to the Site will not exceed one hundred U.S. dollars (US$100).

8. Indemnification

You agree to indemnify and hold harmless AHRI and its trustees, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Site or your breach of these Terms.

9. Changes to the Site and these Terms

We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also update these Terms from time to time; changes take effect when we post the revised Terms and update the “Last updated” date above. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

10. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and AHRI regarding the Site.
